Please read these Terms of Use carefully before accessing or using the services provided by Waeolu through waeolu.com. By accessing or using the platform, you agree to be bound by these terms. If you do not agree, you must not use the platform.

1. Acceptance of Terms

These Terms of Use constitute a legally binding agreement between you and Waeolu governing your access to and use of the website located at waeolu.com and all associated services, features, content, and functionality offered through it. Your continued use of the platform following any updates to these terms constitutes acceptance of the revised terms.

2. Eligibility

You must be at least 18 years of age to use this platform. By using the platform, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding agreement. If you are using the platform on behalf of an organization, you represent that you are authorized to bind that organization to these terms.

3. Account Registration

3.1 Account Creation

Certain features of the platform require you to register for an account. When registering, you agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials.

3.2 Account Security

You are solely responsible for all activity that occurs under your account. You agree to notify Waeolu immediately at [email protected] if you become aware of any unauthorized use of your account. Waeolu is not liable for any loss or damage arising from your failure to maintain account security.

3.3 Account Termination

Waeolu reserves the right to suspend or terminate your account at any time, with or without notice, if you violate these terms or engage in conduct that Waeolu determines to be harmful to the platform, other users, or third parties.

4. Use of the Platform

4.1 Permitted Use

You may use the platform solely for lawful purposes and in accordance with these terms. The platform is intended for personal, non-commercial educational use unless you have entered into a separate written agreement with Waeolu permitting commercial use.

4.2 Prohibited Conduct

You agree not to:

  • Use the platform in any way that violates applicable laws or regulations
  • Copy, reproduce, distribute, or publicly display any content from the platform without prior written permission
  • Attempt to gain unauthorized access to any portion of the platform or its related systems
  • Introduce viruses, malware, or any other harmful code
  • Scrape, crawl, or use automated tools to extract data from the platform
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the integrity or performance of the platform
  • Resell, sublicense, or otherwise commercially exploit any portion of the platform or its content
  • Use the platform to transmit unsolicited communications or spam

5. Intellectual Property

5.1 Platform Content

All content available on the platform, including but not limited to text, graphics, videos, course materials, exercises, data, software, and design elements, is the exclusive property of Waeolu or its licensors and is protected by applicable intellectual property laws. No content may be used, reproduced, or distributed without express written consent from Waeolu.

5.2 User-Submitted Content

If you submit, upload, or post any content to the platform, you grant Waeolu a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, and display such content for the purposes of operating and improving the platform. You represent that you have all necessary rights to grant this license.

5.3 Feedback

Any feedback, suggestions, or ideas you provide to Waeolu regarding the platform may be used by Waeolu without any obligation to compensate you or maintain confidentiality.

6. Payment and Subscriptions

6.1 Fees

Certain services or content on the platform may require payment. All fees are stated in the applicable currency at the time of purchase. You agree to pay all applicable fees and taxes associated with your use of paid features.

6.2 Billing

By providing payment information, you authorize Waeolu to charge the applicable fees to your designated payment method. You are responsible for ensuring your payment information remains accurate and up to date.

6.3 Refunds

Refund eligibility is determined by the specific refund policy associated with the service or course purchased. Unless otherwise stated at the time of purchase, all fees are non-refundable. For refund inquiries, contact [email protected].

6.4 Subscription Cancellation

If you subscribe to a recurring service, you may cancel at any time. Cancellation will take effect at the end of the current billing period. Waeolu does not provide prorated refunds for unused portions of a subscription period unless required by applicable law.

7. Third-Party Links and Services

The platform may contain links to third-party websites or integrate with third-party services. Waeolu does not endorse, control, or assume any responsibility for the content, privacy practices, or terms of any third-party service. Your use of third-party services is at your own risk and subject to those parties' terms.

8. Privacy

Your use of the platform is also governed by Waeolu's Privacy Policy, which is incorporated into these Terms of Use by reference. By using the platform, you consent to the collection and use of your information as described in the Privacy Policy.

9. Disclaimers

9.1 No Financial Advice

Content on the platform related to machine learning, investment, or financial topics is provided for educational purposes only. Nothing on the platform constitutes financial, investment, legal, or professional advice. You should consult a qualified professional before making any financial or investment decisions.

9.2 Platform Availability

Waeolu does not warrant that the platform will be available at all times, uninterrupted, or error-free. The platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.3 Accuracy of Content

While Waeolu makes reasonable efforts to ensure that content is accurate and current, Waeolu does not warrant the completeness, accuracy, or reliability of any content available on the platform. You rely on platform content at your own risk.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Waeolu and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of or inability to use the platform, even if Waeolu has been advised of the possibility of such damages. In no event shall Waeolu's total aggregate liability to you exceed the greater of the amount you paid to Waeolu in the twelve months preceding the claim or one hundred Canadian dollars (CAD $100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Waeolu and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the platform, your violation of these terms, or your violation of any rights of a third party.

12. Modifications to the Platform and Terms

Waeolu reserves the right to modify, suspend, or discontinue any part of the platform at any time without notice or liability. Waeolu also reserves the right to update these Terms of Use at any time. Updated terms will be posted on this page with a revised date. Your continued use of the platform after any changes constitutes your acceptance of the updated terms.

13. Governing Law and Disputes

These Terms of Use shall be governed by and construed in accordance with applicable law. Any dispute arising from or relating to these terms or your use of the platform shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached informally, disputes shall be submitted to binding arbitration or the competent courts having jurisdiction, as applicable.

14. Severability

If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

15. Entire Agreement

These Terms of Use, together with the Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Waeolu with respect to your use of the platform and supersede all prior or contemporaneous understandings, agreements, or representations.
